1. The Tribokaya Ecosystem
Tribokaya.one (the “Platform”) serves as the digital headquarters for Tribokaya’s featured artists, talents, and our community. Part of our mission is to bridge the gap between quality multimedia creation and a dedicated audience, providing a sustainable financial and professional environment for our featured roster, while healing all concerned through fellowship and creativity.
2. Featured Talents & Featured Content
- Curation: Access to the “Artist” features of this platform is reserved for talents officially signed or featured by Tribokaya.
- Professional Integrity: Featured artists are expected to maintain the professional standards of the collective, ensuring all uploaded multi-media (music, visual arts, video) is original or properly licensed.
- Agency Representation: Nothing in these Terms supersedes individual talent contracts. In the event of a conflict, the specific Artist/Talent Agreement signed with Tribokaya OPC shall take precedence.
3. Financial Empowerment & Net Revenue
To ensure the long-term sustainability of our creators, the following financial protocols apply:
- Supporter Contributions: Subscriptions, digital “tips,” and direct media purchases are designed to go directly toward the artist’s production and professional growth.
- Net Revenue Distribution: All financial sharing, commissions, or payouts facilitated through the platform are calculated based on Net Revenue. This is defined as total gross receipts minus third-party processing fees, applicable taxes (pursuant to the Ease of Paying Taxes Act), and direct platform maintenance costs.
- Transparency: Artists will have access to simplified reporting of their support tiers and sales performance.
4. Intellectual Property & Showcase License
- Artist Ownership: Featured talents retain ownership of their underlying intellectual property unless otherwise stipulated in a separate production contract.
- Promotional License: By being a featured artist on Tribokaya.one, the talent grants the platform a non-exclusive, worldwide license to use their likeness, music, and visual art for promotional, marketing, and tribokaya media series content.
5. Supporter & Audience Conduct
- Access: Supporters (the “Audience”) gain access to content, behind-the-scenes media, and direct interaction with featured talents. Exclusives available on demand with a fee.
- Prohibited Use: Reproduction, unauthorized redistribution, or “ripping” of artist content is strictly prohibited and will result in an immediate permanent ban and potential legal action.
- Respectful Engagement: This is a professional hub. Harassment or defamation of featured talents will not be tolerated.
6. Compliance & Governing Law
- Corporate Governance: This platform is operated by Tribokaya OPC. All transactions and disputes are subject to the laws of the Republic of the Philippines.
- Dispute Resolution: Any disagreements regarding platform use or financial distributions shall be settled via arbitration in Bulacan, Philippines, prior to any litigation.
7. Platform Modifications
Tribokaya OPC reserves the right to update these terms to reflect new tax regulations (BIR), corporate compliance (SEC), or shifts in our multimedia production workflow.
